Terms of Use

These Terms of Use (hereinafter referred to as the “Terms”) shall govern the conditions of use of the services (hereinafter referred to as the “Service”) provided by Power Angels (hereinafter referred to as the “Company”) on this website. All registered users (hereinafter referred to as “Users”) are required to use the Service in accordance with these Terms.

Article 1 (Applicability)

These Terms shall apply to all relationships related to the use of the Service between the User and the Company.

The Company may establish various rules, etc. (hereinafter referred to as “Individual Provisions”), in addition to these Terms, regarding the use of the Service. Regardless of their name, these Individual Provisions shall constitute a part of these Terms.

In the event of any inconsistency between the provisions of these Terms and the Individual Provisions under the preceding paragraph, unless otherwise specified in the Individual Provisions, the provisions of the Individual Provisions shall prevail.

Article 2 (User Registration)

To use the Service, the applicant for registration must agree to these Terms and apply for registration through the method prescribed by the Company. Registration shall be completed when the Company approves the application.

The Company may not approve the registration application if it determines that any of the following reasons exist, and shall not be obligated to disclose the reasons for non-approval.

In the event of false statements in the registration application

In the case of an application from a person who has violated these Terms in the past

In other cases where the Company deems the registration to be inappropriate

Article 3 (Management of User ID and Password)

Users shall be responsible for appropriately managing their user ID and password for the Service.

Users may not transfer, lend, or share their user ID and password with any third party under any circumstances. If a user ID and password combination matches the registration information and is logged in, the Company shall deem it to be used by the user who registered the user ID.

The Company shall not be liable for any damages arising from the unauthorized use of a user ID and password by a third party, except in cases where the Company has intentionally or grossly negligently caused such damages.

Article 4 (Usage Fees and Payment Methods)

Users shall pay the usage fees displayed on the website by the method specified by the Company as the consideration for the paid portion of the Service.

If a user delays payment of the usage fees, the user shall pay a late payment fee at an annual rate of 14.6%.

Article 5 (Prohibited Actions)

Users may not engage in the following acts when using the Service:

Acts that violate laws or public order and morals

Acts related to criminal activities

Acts that infringe upon the copyrights, trademark rights, or other intellectual property rights of the Company, other users, or third parties, including the contents of the Service

Acts that disrupt or interfere with the functions of servers or networks of the Company, other users, or third parties

Acts of commercial use of information obtained through the Service

Acts that interfere with the operation of the Company’s services

Unauthorized access or attempted unauthorized access

Collection or accumulation of personal information of other users or third parties

Acts of using the Service for fraudulent purposes

Acts that cause disadvantage, damage, or discomfort to other users or third parties in connection with the Service

Impersonation of other users

Advertising, promotion, solicitation, or business activities on the Service without the Company’s permission

Acts aimed at meeting unfamiliar individuals of the opposite sex

Acts that directly or indirectly provide benefits to antisocial forces in connection with the Company’s services

Other acts deemed inappropriate by the Company

Article 6 (Suspension of Service Provision, etc.)

The Company may suspend or interrupt all or part of the provision of the Service without prior notice to the User if any of the following reasons apply:

When maintenance, inspection, or updates of the computer system for the Service are conducted

In the event of force majeure, such as earthquakes, lightning, fires, power outages, or natural disasters, making it difficult to provide the Service

In the event of an accident that causes the computer or communication lines, etc., to stop

In other cases where the Company deems it difficult to provide the Service

The Company shall not be liable for any damages incurred by the User or a third party due to the suspension or interruption of the provision of the Service.

Article 7 (Restriction of Use and Deregistration)

The Company may restrict the use of all or part of the Service or deregister the User without prior notice if the User falls under any of the following:

Violation of any provisions of these Terms

Discovery of false facts in the registered information

Failure to fulfill payment obligations such as fees

Failure to respond to contacts from the Company for a certain period

No use of the Service for a certain period since the last use

Other cases where the Company deems the use of the Service to be inappropriate

The Company shall not be liable for any damages incurred by the User as a result of actions taken by the Company based on this Article.

Article 8 (Withdrawal)

Users may withdraw from the Service through the withdrawal procedure established by the Company.

Article 9 (Disclaimer and Limitation of Liability)

The Company does not expressly or impliedly warrant that the Service is free from defects (including defects in safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, or security, errors, bugs, or infringement of rights).

The Company shall not be liable for any damages incurred by the User due to the Service unless intentionally or grossly negligent. However, this disclaimer shall not apply if the contract between the Company and the User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act.

Even in cases falling under the proviso of the preceding paragraph, the Company shall not be liable for damages caused by the Company’s negligence (excluding gross negligence) arising from the non-performance of obligations or unlawful acts, up to the amount of the usage fee received from the User in the month in which the damage occurred.

The Company shall not be liable for any disputes, contacts, or conflicts between Users and other Users or third parties regarding the Service.

Article 10 (Changes to the Service Content, etc.)

The Company may change, add, or discontinue the content of the Service with prior notice to the User, and the User shall consent to this.

Article 11 (Changes to the Terms of Use)

The Company may change these Terms without the individual consent of the User in the following cases:

When the changes to these Terms are in the general interest of the User.

When the changes to these Terms do not contradict the purpose of the Service usage agreement and are reasonable considering the necessity of the changes and the appropriateness of the content after the changes.

The Company shall notify the User in advance of the changes to these Terms, the content of the revised Terms, and the effective date of the revised Terms, in accordance with the provisions of the preceding paragraph.

Article 12 (Handling of Personal Information)

The Company shall handle personal information obtained through the use of the Service appropriately in accordance with the Company’s Privacy Policy.

Article 13 (Notification or Contact)

Notifications or contacts between the User and the Company shall be made by the method prescribed by the Company. Unless otherwise notified by the User in a manner prescribed by the Company, the currently registered contact information shall be deemed valid, and notifications or contacts shall be deemed to have reached the User at the time of transmission.

Article 14 (Prohibition of Assignment of Rights and Obligations)

Users may not assign or pledge to a third party, without the prior written consent of the Company, the status under the usage contract or the rights or obligations based on these Terms.

Article 15 (Governing Law and Jurisdiction)

These Terms shall be governed by Japanese law.

In the event of a dispute arising in connection with the Service, the exclusive jurisdiction shall be the court having jurisdiction over the location of the Company’s head office.
